Agreement to our legal terms

Cuekoo is run by Jasmin Ivy Fedilo (“Cuekoo”, “we”, “us”, “our”). We operate the Cuekoo desktop app, including TeleCue, the website at cuekoo-ai.com, and any other related products and services that refer or link to these legal terms (the “Legal Terms”) (together, the “Services”). You can contact us at support@cuekoo-ai.com.

These Legal Terms are a legally binding agreement between you, personally or on behalf of an organisation (“you”), and Jasmin Ivy Fedilo, about your access to and use of the Services. By creating an account, downloading or using the Services, you confirm that you have read, understood and agreed to all of these Legal Terms. If you don’t agree with all of them, you may not use the Services and must stop using them immediately.

You are responsible for using the Services only for legal and ethical purposes. You alone are responsible for making sure your use of the Services follows every law, regulation and third-party rule that applies to you, including laws on recording, wiretapping, consent, privacy, data protection, intellectual property, confidentiality, employment, education, professional licensing and examinations. Where the law, or an institution, employer, platform or other person, requires notice, disclosure or consent before a conversation, meeting, interview or examination is recorded, processed or assisted by AI, it is your sole responsibility to give that notice or disclosure and obtain that consent. We provide the Services as a general-purpose tool and don’t endorse or condone any unlawful or unethical use; any such use is a material breach of these Legal Terms.

The Services are for people who are at least 18 years old. Anyone under 18 may not use or register for them.

1. Our services

Cuekoo is an AI meeting copilot for Windows and macOS. While you are in a call, it can transcribe the call, notice questions, suggest answers, answer your own questions, and save meetings with notes. It needs an account and an internet connection. TeleCue is a teleprompter and notes for your own Markdown files on your computer. After a one-time activation, it works without an account and without a network.

Cuekoo is new and in early access. Features may change, be limited or be removed, and the Services may sometimes be unavailable.

The Services are not intended for distribution to or use by anyone in a place where that would be against the law. If you use the Services from another location, you do so on your own initiative and are responsible for following local laws.

The Services are not designed to meet industry-specific rules for health, financial or government information (such as HIPAA, FISMA or GLBA). If your calls or documents are subject to such rules, don’t use the Services for them.

2. Intellectual property rights

Our intellectual property

We own or license all intellectual property rights in the Services, including the software, source code, databases, designs, text and graphics (the “Content”), and the Cuekoo name, logo and mascot (the “Marks”). They are protected by copyright, trademark and other laws around the world.

Your use of our Services

As long as you follow these Legal Terms, we give you a personal, non-exclusive, non-transferable and revocable licence to install and use the Cuekoo desktop app and to access the Services. You may not copy, sell, redistribute, reverse engineer, decompile or modify them, except where the law allows it despite this restriction.

The app checks for new versions and installs one only when you choose Update now. Some features may stop working in versions that are no longer supported.

We reserve all rights not expressly granted to you. Any breach of these rights is a material breach of these Legal Terms, and your right to use the Services ends immediately.

Your submissions

If you send us ideas, suggestions or feedback about the Services (“Submissions”), we may use and share them for any purpose, without acknowledgment or payment to you. Your Submissions must not be illegal, harmful, misleading or confidential, and you confirm that you have the right to send them.

3. User representations

By using the Services, you represent and warrant that:

  1. the information you give when you register is true, accurate, current and complete, and you will keep it that way;
  2. you are at least 18 years old and have the legal capacity to accept these Legal Terms;
  3. you will not access the Services through automated or non-human means, such as a bot or script;
  4. you will not use the Services for any illegal, unauthorized or unethical purpose, and your use will not break any law, including laws on recording, wiretapping, consent, privacy, data protection, confidentiality, intellectual property, employment, education and examinations;
  5. before using the Services to transcribe, process or be assisted by AI in any conversation, meeting, interview, examination or other interaction, you have obtained every notice, disclosure and consent that the law, or any institution, employer, platform or other person, requires;
  6. you will not use the Services in breach of the rules, policies, code of conduct or terms of service of any third party that apply to your interaction, such as your employer, school, examination provider, certification body, interviewer, counterparty or video-calling platform; and
  7. you will not use the Services to deceive, defraud, harass, harm or impersonate anyone, or infringe anyone’s rights.

If any information you give us is untrue, inaccurate, out of date or incomplete, we may suspend or close your account.

4. User registration

You need an account to use Cuekoo (TeleCue works without one, after a one-time activation with its licence key). Keep your password confidential; you are responsible for all use of your account. Each account is personal to one individual and may not be shared with or used by anyone else. Tell us at support@cuekoo-ai.com if you think someone else has used your account.

5. Purchases and payment

Some of the Services are paid: the Overlay, Pro and Max plans, hour packs of transcription time, extra usage, and TeleCue. Before you pay for anything, we show you the price and what it includes, and you choose whether to buy it. Nothing is charged without your explicit agreement.

Our payment processor. Purchases are made through our payment processor, which sells them to you as the merchant of record. It takes your payment, works out and charges any sales tax or VAT that applies, issues your receipts, and runs the page where you manage your subscription; its own terms of sale also apply to the payment. Prices are in US dollars. Refunds are covered by our Refund Policy.

The Free trial

Every account starts on the Free trial: 25 minutes of transcription and 50 AI answers, which never reset. The two run out separately: when one is used up, only that part stops. The Free trial is offered once per person, which means once per account and once per computer: a computer that has already had a Free trial can’t start another, even on a new account.

Plans

Overlay, Pro and Max are subscriptions, paid monthly or yearly in advance. A subscription renews automatically at the end of each billing period, and you are charged for the next one, until you cancel. You can cancel at any time from Plan and usage in the app; cancelling takes effect at the end of the period you have paid for, and you keep the plan until then. We don’t refund the unused part of a period.

What each plan includes (its transcription allowance, AI answers, features and limits) is shown on our pricing page and in the app before you buy. Monthly allowances reset each month on the day of your billing date, on yearly plans too, and unused time doesn’t carry over. If you move to a plan with lower limits, nothing you made is deleted: what fits within the new plan’s limits stays usable, and the rest can be viewed or deleted, but not used in a session, until you upgrade again.

AI answers and fair use

Every answer Cuekoo writes counts as one AI answer: an answer to a question you type, to Send transcript, or to a question from your call (whether you press Answer or Auto answers it), and an answer in an agent’s Try panel. Noticing a question without answering it (question detection in Assist) doesn’t count. An answer that fails before any of it arrives, or breaks off because of a problem on our side, isn’t counted; an answer you stop after it has started is.

Plans with unlimited AI answers are for one person’s own use in their own meetings. To keep the Services working for everyone, after 60 answers in an hour or 400 in a day, answers slow down to at most one a minute until your use falls below those numbers. We may review accounts with unusually heavy use, and suspend use that breaks these Legal Terms.

Transcription time

Transcription is counted in minutes of clock time while at least one transcription switch is on in a session; your microphone and the call’s audio share one clock. Cuekoo reserves time 5 minutes at a time while you transcribe. When you pause, end the session, sign out or quit, it gives back what wasn’t used, with the time used measured by our server’s clock and rounded up to the whole minute. If the app can’t tell us (for example, it crashes, loses its connection or is closed by force), the whole reserved block counts as used. At most 60 minutes a day are given back this way.

Time is used in this order: your plan’s allowance for the month, then your hour packs, then extra usage if you have turned it on.

Hour packs

Hour packs add transcription time to any plan, the Free trial included; they don’t add AI answers. Pack hours never expire, and they are used only after your plan’s own allowance is used up. They end if you delete your account.

Extra usage

On plans that offer it, you can turn on extra usage so that transcription goes on after your allowance and hour packs are used up. It is off until you turn it on, and you set a monthly spending cap when you do. It is priced per hour, as shown in the app when you turn it on, counted by the minute, and charged by our payment processor after you use it, at the end of your subscription’s billing period. When extra usage reaches your cap, transcription pauses until your allowance resets, you raise the cap or you add hours. You can turn it off at any time; time already used is still charged.

TeleCue

TeleCue’s teleprompter needs a TeleCue licence, or a Pro or Max plan, which include it; its notes and scripts don’t. A licence is a one-time purchase, doesn’t expire, and covers your own use on up to 3 computers at a time. Activating it on a computer needs an internet connection once; after that, TeleCue works on that computer without an account and without a network. To move it to another computer, first remove one from the licence in the app (removing a computer from a different computer is limited to twice in 90 days). If you buy TeleCue without an account, its key is shown once, when you buy: keep it safe, and don’t share or sell it.

With Pro or Max, TeleCue works on up to 3 computers used in the last 30 days, while you are signed in to Cuekoo on them. Cuekoo renews it on each computer while it can reach our server, and it stops within a week after your plan ends.

Plans given without payment

We may give a plan without payment, for example through our creator program, which gives months of a plan for a public video about Cuekoo under the rules on its page. A plan given this way runs for the time we tell you, then ends on its own: it never renews and is never charged. If you already pay for that plan or a higher one, it starts when the period you paid for ends. It isn’t a purchase, so it can’t be refunded or exchanged for money. We check every creator claim ourselves and our decision is final, and we may end a plan given for a post that breaks these Legal Terms or the program’s rules.

Price changes

We may change our prices, and what a plan includes. A change applies to your subscription from its next billing period after we tell you, never to a period you have already paid for; if you don’t accept it, cancel before your subscription renews. Hour packs and TeleCue licences you have already bought keep what they gave you.

6. Prohibited activities

You may not use the Services for any purpose other than the one we make them available for. As a user of the Services, you agree not to:

  • Transcribe, record or otherwise capture any conversation, meeting, call, interview, class, examination or other interaction without first obtaining every notice, disclosure and consent that the law, or any institution, employer, platform or other person involved, requires (including “all-party” consent under wiretapping and recording laws).
  • Use the Services to cheat on, or gain an unauthorized advantage in, any examination, assessment, interview, certification or other situation where AI assistance or outside help is forbidden or must be disclosed.
  • Use the Services in breach of the rules, code of conduct, academic-integrity or exam policy, or terms of service of any school, employer, examination provider, certification body, interviewer, platform or other third party that apply to your interaction.
  • Pass off AI-generated output as your own where that is forbidden or would be deceptive.
  • Upload, process or send personal data, confidential information, trade secrets or privileged communications that you have no right to use that way.
  • Use the Services for any illegal, fraudulent, deceptive or otherwise unethical purpose, or to harass, abuse, threaten or harm anyone.
  • Generate or distribute content that is unlawful, defamatory, hateful, discriminatory, sexually explicit involving minors, or that promotes violence.
  • Trick, defraud or mislead us or other users, or impersonate another person.
  • Get around, disable or interfere with the security features, limits or rate limits of the Services, or try to reach data that isn’t yours.
  • Get more than one Free trial, for example by making more accounts or by changing or faking the identifier your computer sends, or get around a plan’s allowances or a TeleCue licence’s limit on computers.
  • Upload viruses, malware or anything else meant to harm the Services, their users or their providers.
  • Interfere with, disrupt or create an undue burden on the Services or the networks connected to them.
  • Use scripts, bots, scrapers or other automated tools to access the Services or extract data from them.
  • Copy, adapt, decompile, disassemble or reverse engineer the Services’ software, except as the law allows.
  • Share, sell or resell your account or a TeleCue licence key, or use either to provide the Services to others.
  • Use the Services to build a competing product.
  • Harass, intimidate or threaten anyone who works on the Services.
  • Use the Services in breach of the usage policies of the AI providers they rely on.

7. User generated contributions

Your content is what you put into or get out of the Services: audio, transcripts, questions, answers, screenshots, meeting notes, agent instructions and knowledge base documents (“Contributions”). Your Contributions are private to your account; the Services don’t publish them or show them to other users. When you add a Contribution, you represent and warrant that:

  • you have the rights, licences and consents needed to add it and to let us process it as these Legal Terms describe;
  • adding it doesn’t break any law, contract or confidentiality obligation, or infringe anyone’s intellectual property, privacy or publicity rights (for example, a confidentiality agreement that forbids sharing a document with third-party AI services); and
  • where it contains other people’s words or personal information, such as a call transcript, you have given them every notice and obtained every consent the law requires.

8. Contribution license

You keep full ownership of your Contributions and every right in them. You give us permission to host, copy, process and transmit them, including to the service providers described in the Privacy Policy, only as needed to run the Services for you. This permission ends when you delete them or your account, except for copies we must keep by law.

We don’t use your Contributions to train AI models. You are solely responsible for your Contributions, and we are not liable for anything in them.

9. Social logins

We may let you sign in with your Google account. If you do, you confirm that you are entitled to use that account, and we receive the profile information described in the Privacy Policy. Your relationship with Google is governed only by your agreement with Google.

10. AI output

Transcripts, detected questions, suggested answers, notes and action items are produced by AI. They can be inaccurate, incomplete or out of date, or say the wrong person said something. Question detection may miss questions or notice ones that weren’t asked.

  • Check anything important before you say it, rely on it or share it.
  • Cuekoo’s answers are not legal, medical, financial or other professional advice.
  • What you say in your meetings, and the decisions you make, are your own responsibility.

Hidden from screen share. Cuekoo’s overlay asks the operating system to leave it out of screen sharing and screenshots taken by supported apps. It depends on Windows or macOS and on each app (on macOS some capture tools may ignore it), and can’t be guaranteed for every capture method, recording tool, or a camera pointed at your screen. Check it with your own setup before you rely on it.

11. Services management

We reserve the right, but not the obligation, to: (1) monitor the Services for breaches of these Legal Terms; (2) take appropriate legal action against anyone who breaks the law or these Legal Terms, including reporting them to law enforcement; (3) refuse, restrict or disable access to any of your Contributions where the law or these Legal Terms require it; (4) remove files that are excessive in size or burden our systems; and (5) otherwise manage the Services to protect our rights and keep them working properly.

12. Privacy policy

We care about data privacy and security. Please read our Privacy Policy, which is part of these Legal Terms. It explains what we collect, what is sent to our service providers, and that your information is processed in countries other than your own. By using the Services, you agree to that processing.

13. Term and termination

These Legal Terms apply for as long as you use the Services. We may suspend or close your account, or deny you access to the Services, if you breach these Legal Terms or any law, if your use puts others or the Services at risk, or if the law requires it. Where it’s reasonable, we will tell you first and give you a chance to fix the problem or save your content.

If we close your account for a breach, you may not create a new one, under your own name or anyone else’s. We may also take appropriate legal action.

You can stop using the Services at any time. To delete your account and everything in it, write to privacy@cuekoo-ai.com from its email address.

14. Modifications and interruptions

We may change, suspend or discontinue the Services, or any part of them, at any time. We will give reasonable notice of a significant change or of discontinuing the Services where we can.

We can’t guarantee the Services will always be available. Hardware, software, network or provider problems, and maintenance, may cause interruptions, delays or errors. We are not liable for any loss or inconvenience caused by the Services being unavailable.

15. Governing law

These Legal Terms are governed by the laws of the Philippines, without regard to its conflict-of-law rules; the United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer, you also keep the protection of the mandatory consumer laws of the country where you live, and you may bring a claim to protect those rights there.

16. Dispute resolution

Informal negotiations. To resolve any dispute about these Legal Terms or the Services quickly and at low cost, you and we agree to first try to settle it informally, in good faith, for at least thirty (30) days. Negotiations start when one of us writes to the other.

Courts. If a dispute isn’t settled that way, it will be decided by the competent courts of the Philippines, without taking away any right you have as a consumer to bring a claim where you live.

Individual claims. To the extent the law allows, a dispute will be resolved individually, and not as part of a class or representative action.

17. Corrections

Information in the Services may contain typographical errors, inaccuracies or omissions, including descriptions, prices and availability. We may correct them and update information at any time, without prior notice.

18. Disclaimer

The Services are provided on an as-is and as-available basis. You agree that your use of the Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use of them, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranties about the accuracy or completeness of the Services’ content or of any AI output, and we assume no liability for (1) errors, mistakes or inaccuracies in content or AI output; (2) personal injury or property damage resulting from your use of the Services; (3) any unauthorized access to or use of our servers or any information stored on them; (4) any interruption or end of transmission to or from the Services; (5) any bugs, viruses or the like transmitted through the Services by a third party; or (6) any loss or damage from the use of any content made available through the Services. Nothing in these Legal Terms limits rights you have under consumer protection laws that can’t be waived.

19. Limitations of liability

To the extent the law allows, in no event will we be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit, lost revenue or loss of data, arising from your use of the Services or of AI output, even if we have been advised of the possibility of such damages. Our total liability to you for any cause whatsoever will at all times be limited to the greater of the amount you paid us, if any, in the twelve (12) months before the cause of action arose, or US$100. These limits don’t apply to liability that the law doesn’t allow us to limit, such as for fraud, gross negligence or wilful misconduct. Some laws don’t allow limits on implied warranties or the exclusion of certain damages; if they apply to you, some of these limits may not apply, and you may have additional rights.

20. Indemnification

You agree to defend, indemnify and hold us harmless from any loss, damage, liability, claim or demand, including reasonable legal fees, made by a third party because of: (1) your use of the Services; (2) your breach of these Legal Terms or of your representations and warranties in them; (3) your violation of a third party’s rights, including transcribing people without their consent or uploading content you had no right to share; or (4) any harmful act toward anyone you interacted with using the Services. We will make reasonable efforts to tell you of any such claim when we learn of it.

21. User data

We keep the data you send to the Services as described in the Privacy Policy. Although we take care to protect it, you are responsible for the data you send and for keeping your own copies of anything important (for example, by copying a meeting’s notes). To the extent the law allows, we are not liable for any loss or corruption of that data.

22. Electronic communications, transactions, and signatures

Using the Services, sending us emails and completing online forms are electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures and other communications we give you electronically, by email and in the Services, satisfy any legal requirement that they be in writing. You agree to the use of electronic signatures, contracts and records, and to the electronic delivery of notices and policies.

23. California users and residents

If a complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

24. Miscellaneous

These Legal Terms, the Privacy Policy, the Refund Policy and any terms shown to you when you buy something are the entire agreement between you and us. If we don’t enforce a right or provision, that is not a waiver of it. We may assign our rights and obligations to others, such as a company that takes over the Services. We are not liable for any failure or delay caused by something beyond our reasonable control. If any provision is found unlawful or unenforceable, it is severed and the rest stays in effect. These Legal Terms create no joint venture, partnership, employment or agency relationship between you and us, and won’t be construed against us because we drafted them.

25. Changes to these Legal Terms

We may update these Legal Terms as the Services change. We will update the “Last updated” date at the top, and for a significant change we will tell you in the app or by email before it takes effect. If you keep using the Services after that, the new Legal Terms apply; if you don’t accept them, stop using the Services and you may delete your account. The 28 September 2026 version added paid plans, hour packs, extra usage and TeleCue licences (“Purchases and payment”).
